1. The first step in setting a company in Romania is: the reservation of the company. This document is accepted in 30 minutes and the certificate is valid for 3 months. Not all the names are accepted so you should think at the name and the lawyer will answer you if that name is eligible;
2. The next step is to prepare all the statutory documentation: the constitutive act (this can be done in English and in Romanian), some statements – the documents should be prepared by the lawyer. If you are not a Romanian resident and you are not registered with the Romanian fiscal authorities, you will have to state your own responsibility saying you are not in fiscal debt; the proof for the firm’s headquarters If the headquarters are in an apartment in block building, you will need the signatures of the neighbors with whom the apartments shares a wall and the consent of the owners’ association in the block; you also need copies for the ID cards or passports of the firm’s associates/shareholders.
All the documents should be in Romanian language, translated and apostiled if necessary.
3. The next step is to create the company’s social capital and receive the banking document which confirms sufficient funds in the bank deposit. The minimum social capital is of RON 200 (the equivalent of around EUR 50);
For the limited liability company the minimum equity capital requirement for a limited liability company (Romanian: Societate cu Raspundere Limitata or SRL) is currently RON 200 and for the joint stock company the minimum share capital is RON 90.000.
4. Fill the registration request form and the annex about the fiscal registration plus the annex about the foreign investment if it applies.

The fiscal registration form you have submitted to the Trade Registry is automatically sent to the Fiscal authorities.
